Code of Conduct for Suppliers
Objective
SAT México is committed to transparency in all commercial processes. We promote ethical behavior to build the trust necessary for establishing long term relationships with our clients and suppliers, supporting mutual growth. Our Code of Ethics is designed to foster mutual respect and ensure compliance with regulations throughout our tourism operations, maintaining consistent internal and external conduct aligned with our organizational values. Suppliers are essential partners enabling us to deliver high quality services. This Supplier Code of Conduct (the “Code”) outlines our expectations in key areas.
Scope
This Code applies to all third parties providing goods or services to SAT México without exception, including service providers and any future affiliates. Suppliers must conduct business ethically and in full compliance with applicable laws, adhere to this Code, and ensure their practices conform to its requirements. Failure to comply may result in immediate termination of the supplier relationship.
1. Compliance with Laws
Suppliers must fully comply with all applicable laws, regulations and standards, including but not limited to those governing labor, immigration, health and safety, manufacturing, anti corruption and environmental protection. Suppliers shall also observe all trade embargoes and economic sanctions and certify upon request that they have not violated any law, regulation, order or licensing requirement.
2. Anti-Bribery
Suppliers must not directly or indirectly offer, promise, give or authorize any payment or transfer of value to government officials, political parties, candidates, subcontractors, SAT México employees or any other party, whether in cash or kind, for the purpose of influencing official actions or securing an undue business advantage. Suppliers shall refrain from any activity that would constitute a breach of applicable anti corruption legislation.
3. Conflict of Interest
Suppliers must avoid any financial or personal relationships that could conflict or appear to conflict with a SAT México employee’s duty to act in the Company’s best interest. Suppliers shall not offer gifts, favors, hospitality, entertainment or any other benefit to influence decision making. A conflict of interest arises when personal circumstances such as family ties, friendships or other external factors could impair professional objectivity. Failure to manage conflicts appropriately may result in contract termination.
4. Harassment and Abuse
All individuals must be treated with respect. Suppliers shall prohibit psychological, physical, sexual or verbal abuse, intimidation, threats or harassment of any kind. They are required to implement anti harassment training programs to ensure that employees, independent contractors and subcontractors understand and comply with legal and ethical standards.
5. Non Discrimination in Hiring
Suppliers shall ensure fair and equitable treatment of all employees. Recruitment practices must not discriminate on the basis of race, color, religion, sex—including pregnancy, childbirth or related medical conditions—age, national origin, medical condition, genetic information, disability, marital status, sexual orientation, gender identity or expression, veteran status or any other characteristic protected by law.
6. Environmental Management and Sustainability
Suppliers must comply with all applicable environmental laws and regulations, including the proper handling and disposal of waste, air emissions, wastewater, toxic substances and hazardous materials, in accordance with recognized environmental standards.
7. Financial Integrity
Suppliers shall maintain accurate financial records for all business dealings with SAT México, following Generally Accepted Accounting Principles (GAAP) or International Financial Reporting Standards (IFRS) as applicable.
8. Commitment and Accountability
Suppliers are expected to allocate sufficient resources to implement this Code and ensure ongoing compliance. They must promptly report any incidents related to this Code to SAT México and identify and manage risks in all relevant areas.
9. Human and Labor Rights
Suppliers shall guarantee fair and safe working conditions, prohibit forced labor, excessive working hours and child labor, and respect the rights to freedom of association and collective bargaining. It is expressly clarified that Suppliers act as independent contractors and this Code does not establish any form of partnership, joint venture, agency or employment relationship.
It is clarified, without limitation, that the Supplier is an independent contractor and that this Code does not establish any form of shared risk, partnership, agency, or employment relationship.
